Terms of Service

Welcome to NevTan Cloud

These Terms of Service ("Terms") govern your access to and use of NevTan Cloud's websites, cloud infrastructure services, application hosting services, artificial intelligence services, APIs, software, products, and related services (collectively, the "Services").

1. Definitions

"Account" means a registered account granting access to the Services.
"Customer Data" means data you upload, submit, or process through the Services.
"Services" means all NevTan Cloud products, platforms, APIs, and related offerings.
"Subscription" means a paid plan for access to the Services.
"User" means any individual accessing the Services under your Account.

2. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account. You agree to notify us immediately of any unauthorized use of your account.

3. Acceptable Use

Your use of the Services is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Services for any unlawful, harmful, abusive, or disruptive purposes.

4. Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Usage-based charges (compute, inference tokens, storage, bandwidth) are billed in arrears. All fees are in USD and are non-refundable except as expressly stated in these Terms or required by law.

We may change our pricing with 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

5. Free Tier and Credits

Free tier resources and promotional credits are provided at our discretion and may be modified or discontinued at any time. Free tier accounts are subject to usage limits and are not eligible for SLA credits.

6. Customer Data and Privacy

You retain all rights to your Customer Data. By using the Services, you grant NevTan Cloud a limited license to process Customer Data solely to provide and improve the Services as described in our Privacy Policy and AI and Data Usage Policy. We do not train AI models on your Customer Data without your explicit consent.

7. Intellectual Property

NevTan Cloud retains all rights to the Services, platform software, documentation, and related intellectual property. You retain all rights to your Customer Data and applications. Nothing in these Terms transfers ownership of either party's intellectual property.

8. Service Availability

Our availability commitments for paid subscriptions are set out in our Service Level Agreement. Free tier accounts are provided on a best-effort basis without uptime guarantees.

9. Confidentiality

Each party agrees to keep confidential the other party's non-public information and to use such information only for the purposes of the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEVTAN'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL NEVTAN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless NevTan Cloud and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or our Acceptable Use Policy. Upon termination, your right to use the Services ceases. We will retain Customer Data for 30 days post-termination to allow export, after which it will be deleted.

14. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.

15. Changes to These Terms

We may update these Terms from time to time. We will provide 30 days' notice of material changes. Continued use of the Services after the effective date constitutes acceptance.
